Terms of Service

Last updated 30 September 2026 · Effective 1 October 2026

Draft — pending final legal review. Scheduled for the Reviewer/Auditor pass in the two weeks following launch.

These Terms of Service constitute a binding agreement between Mnemosyne Books Pty Ltd (ABN 14 677 225 482) trading as SkoldTrades (“SkoldTrades”, “we”, “us”) and the subscriber (“Subscriber”, “you”).

1. Platform licence & business purpose

SkoldTrades provides workflow management, job quoting, and invoicing software exclusively for commercial use by trade contractors operating within Australia. We grant you a non-exclusive, non-transferable, revocable licence to access the platform.

2. ABN & business warranties

Subscribers must hold an active, valid Australian Business Number (ABN). You represent that all trade licences, ABN credentials, and GST registration statuses entered during onboarding are accurate.

3. Pricing, AUD & GST

All prices are in Australian Dollars (AUD). GST is not charged on our prices because the supplier is not currently registered for GST. Plans and billing arrangements are confirmed with you when you register; card payments are processed by Stripe. You can ask to change or cancel your plan at any time by contacting us at skoldtrades.com.au/contact, and we will confirm the change in writing.

3A. Free 30-Day Founding Access

New accounts opened during our launch get Free 30-Day Founding Access: you can use SkoldTrades for 30 days from the day you sign up, at no charge, and we do not ask for a card when you sign up.

This is an early version of the product. Some things may change or not work as expected, and we may ask you for feedback. You can stop using it, or ask us to close your account, at any time by contacting us at skoldtrades.com.au/contact.

Nothing is charged automatically when the free period ends, and we will not charge you unless you have agreed to a paid plan. We may change or end the free access period by giving you notice in writing.

4. Invoicing & Security of Payment disclaimer

Tax invoices: the Service provides automated formatting to assist contractors in preparing ATO-compliant tax invoices. Subscribers retain sole legal responsibility for the accuracy of line items, rates, applied GST, and ABN representations.

Security of Payment Act notice: SkoldTrades is an operational software platform, not an authorised nominating authority, arbitrator, or legal adviser. The platform does not provide legal advice or warrant compliance with statutory notice periods, formal endorsements, or service requirements under state-based Security of Payment legislation (including the NSW Building and Construction Industry Security of Payment Act 1999, QLD BIF Act, VIC SOP Act, WA SOP Act, or equivalent legislation). Subscribers remain solely responsible for serving valid payment claims and notices.

5. Australian Consumer Law (ACL) guarantees

Our services come with guarantees that cannot be excluded under Schedule 2 of the Competition and Consumer Act 2010 (Cth). To the extent permitted by Section 64A of the ACL, our liability for failure to comply with a consumer guarantee is limited, at our election, to supplying the service again or paying the reasonable cost of having the service resupplied. In no event will SkoldTrades be liable for consequential loss, loss of anticipated profits, or contractor-client disputes.

6. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Parties submit to the jurisdiction of the courts of Victoria.
